Junior Lawyer / Legal and Compliance Officer

Job Summary:
The Legal and Compliance Officer is responsible for ensuring that the organization operates in full compliance with all applicable laws, regulations, internal policies, and industry standards. This role involves advising management on legal risks, developing compliance frameworks, drafting and reviewing contracts, and managing the organization’s legal and regulatory obligations.
Key Responsibilities:
Legal:
• Provide accurate and timely legal advice to management and staff on a wide range of matters including contracts, labor law, corporate law, data protection, and regulatory issues.
• Draft, review, and negotiate contracts, agreements, and other legal documents.
• Liaise with external counsel and manage litigation or legal proceedings, if necessary.
• Act as the Corporate Secretary of the group and maintain legal files and records in an organized and confidential manner.
• Assist in managing intellectual property, licensing, and corporate governance matters.
• Stay current with relevant legal developments that may affect the company’s operations.
• Handle labor and court cases, attend judicial hearings and alternative modes of dispute resolution.
• Perform other tasks that require the services of an in-house legal counsel
Compliance:
• Develop, implement, and maintain a comprehensive compliance program in accordance with local and international regulations.
• Monitor and ensure compliance with applicable laws and regulations (e.g., Data Privacy, Labor, BIR, SEC, PEZA, BOI reporting, etc.)
• Lead the compliance activities of the organization, file reports and regulatory requirements with government agencies, SEC, BIR, DOLE, BOI, PEZA, LGU; and ensure that all business activities are covered by permits and licenses.
• Inform and remind staff members of their Compliance obligations, identify compliance risks and difficulties within the Flat Planet organization, and provide insights to enable an effective risk
management; monitor the preparation of reports by Finance Department to make sure that they meet their government deadlines on time.
• Proactively identify the root causes of compliance gaps, recommend actionable, value-added, and cost-effective measures to address compliance issues, mitigate exposure to business risks and improve the company’s compliance framework.
• Keep the organization updated on any government regulatory changes.
• Develop and manage an annual compliance plan and calendar to improve timely submission by the company of government reports; administer the Compliance calendar, conduct periodic internal reviews to ensure that compliance procedures are followed by relevant business units and deadlines are met on time.
• Lead the development of a Compliance Calendar app, to enable the company to meet all regulatory deadlines in a timely and efficient manner.
• Conduct compliance risk assessments and internal audits and address compliance gaps.
• Perform such other tasks as may be assigned from time to time.
Qualifications:
• Bachelor’s degree in Law (LLB or JD); must be a licensed lawyer in good standing.
• Minimum of 3–5 years of experience in legal and/or compliance roles, preferably in a regulated industry (e.g., financial services, BPO, healthcare).
• Knowledge of relevant laws and regulations (e.g., labor law, corporate law, data privacy, SEC, PEZA).
• Strong analytical, research, and problem-solving skills.
• Excellent communication, negotiation, and drafting abilities.
• High level of integrity and ethical standards.
• Detail-oriented and capable of managing multiple priorities.
